His practice focuses on M&A, capital markets, financing, cross-border transactions, corporate governance, US securities regulation, private equity, venture capital and crowdfunding.
As an associate in the corporate practice group at Paul Hastings LLP (New York), he represented some of the largest companies and financial institutions in the world in M&A and capital markets transactions, ranging from public and private M&A to IPOs, follow-on offerings, PIPEs, investment-grade & high-yield offerings and liability management transactions. As part of his Latin American practice at Paul Hastings, he assisted in the formation of the first real estate investment trusts (FIBRAs, for its Spanish acronym) in México. In addition, he represented foreign prívate issuers and financial institutions in registered offerings, as well as Rule 144A and Regulation S offerings, in the United States and in Latin America (he advised Grupo Lala on its IPO, the largest IPO in Mexico in 2013). In Chile, he has represented the owners of a power generation company in the sale of the company to a private equity fund based in NYC. In addition, he has advised a US private equity on the auction of Chilean assets by a US power company with assets in a number of Latin American countries.
