SILVA IBÁÑEZ REPRESENTED A CHILEAN FARMING GROUP IN THE SALE OF A CONTROLLING STAKE IN THREE PRODUCERS OF FRESH AND DRIED FRUIT.

In the largest inbound investment in Chilean farmlands to date, Silva Ibañez Abogados (“SIA”) represented a Chilean Farming Group (“CFG”), in the sale of a controlling stake in three producers of fresh and dried fruit. CFG entered into a joint venture with the purchaser, one of Canada’s largest pension investment manager. Given the size of the investment, the novelty of the transaction, and because CFG owns several vertically integrated companies in the agribusiness industry, we helped our client design the most suitable contract technology. In addition to the acquisition agreement, SIA drafted a complex joint venture agreement, as well as very innovative fruit marketing and farm management agreements, which although novel in the Chilean farm industry were tailor-made for our client’s needs. Finally, SIA advised CFG on several legal issues involved in the transaction, such as antitrust (pre-merger control), real estate, environmental, and employment and labor matters.
