SILVA IBÁÑEZ ABOGADOS ADVISED THE OWNERS OF THE GREENLAND SCHOOL, IN THE SALE OF THE SCHOOL TO COGNITA

Silva Ibáñez Abogados (“SIA”) advised the owners of The Greenland School, a private school located in the district of Estación Central, Santiago (the “School”), in the sale of the School to Cognita Chile Limitada (“Cognita”), which is part of a global private schools group that owns and operates schools throughout the United Kingdom, Hong Kong, Singapore, Spain, Switzerland, Thailand, Vietnam, Brazil, India and Chile. Upon the closing of the transaction, Cognita acquired 100% of the capital stock of Sociedad Educacional Greenland School S.A., Inmobiliaria e Inversiones Valle Verde S.A. and Inversiones y Negocios Inmobiliarios S.A., the companies that operate the School and own the assets and properties employed in the operation of the School.

By leveraging our team’s broad legal expertise, our financial savvy attorneys were able to advice our client on the negotiation of the acquisition agreement and the arrangement of a security package provided by Cognita to secure the payment of the deferred consideration.

In addition to the commercial and financial matters normally involved in a M&A transaction, the SIA team advised the client on the complex regulatory framework applicable to the industry at hand.
